TERMS & CONDITIONS

Effective Date: October 18, 2026
Last Updated: October 18, 2026
Operated by: Yum Brand Corp., doing business as Yumkies
Website: https://yumkies.com

IMPORTANT NOTICE: THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT, A CLASS-ACTION WAIVER, AND A JURY-TRIAL WAIVER. EXCEPT AS EXPRESSLY PROVIDED BELOW OR REQUIRED BY LAW, YOU AND YUM BRAND CORP. AGREE TO RESOLVE COVERED DISPUTES THROUGH INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW SECTION 19 CAREFULLY.

SECTION 1 - ACCEPTANCE OF TERMS

This website is operated by Yum Brand Corp., doing business as Yumkies (“Yumkies,” “Company,” “we,” “us,” or “our”).

These Terms & Conditions (“Terms”) govern your access to and use of yumkies.com, related websites, online stores, accounts, content, products, subscriptions, and services operated by Yumkies (collectively, the “Services”).

By creating an account, placing an order, or otherwise affirmatively accepting these Terms through a mechanism that establishes legally valid assent, you agree to be bound by these Terms and any additional policies expressly incorporated herein.

These Terms include the binding individual arbitration agreement and class-action waiver set forth in Section 19, which may affect your rights to bring disputes in court, participate in class actions, or have disputes decided by a jury.

If you do not agree to these Terms, you must not place an order, create an account, or otherwise use Services that require acceptance of these Terms.

Visitors who browse the website without creating an account or placing an order are expected to comply with the website-use restrictions described in these Terms, including Sections 12 and 13. Such restrictions are enforceable as contractual obligations only where legally valid assent has been established. Nothing in these Terms limits Yumkies’ independent rights under applicable intellectual-property, cybersecurity, or other laws.

These Terms apply to website visitors, customers, subscribers, account holders, and other users of the Services.

1.1 Age Requirements and Authority to Purchase

By creating an account, you represent that you have reached the age of majority in your jurisdiction and possess the legal capacity to enter into a binding contract. Accounts intended for use by minors must be established and managed by a parent or legal guardian who possesses such legal capacity and is responsible for the account’s authorized use, subject to applicable law.

By placing an order or entering into a purchase transaction through the Services, you represent that you have reached the age of majority in your jurisdiction and possess the legal capacity to enter into a binding contract, or that the transaction is being completed and authorized by a parent or legal guardian who possesses such legal capacity.

Individuals under the age of majority may browse the Services only with the permission and supervision of a parent or legal guardian.

The Services are not directed to children under the age of thirteen (13). The collection, use, and disclosure of personal information, including information relating to minors, are governed by our Privacy Policy and applicable law.

Yumkies may cancel orders, restrict accounts, or request reasonable verification of purchasing authority when it has a legitimate basis to suspect that an order was placed without appropriate authorization, subject to applicable law.

Nothing in this section limits any right of a minor or other person that cannot lawfully be waived, including applicable rights concerning the disaffirmance of contracts.

SECTION 2 - ONLINE STORE AND GENERAL CONDITIONS

Yumkies reserves the right, subject to applicable law, to refuse service, restrict access, suspend accounts, reject orders, or discontinue Services when reasonably necessary for business, security, legal, or operational purposes.

You agree not to use the Services for unlawful, fraudulent, abusive, or unauthorized activities.

You may not reproduce, duplicate, copy, sell, resell, or commercially exploit any portion of the Services without our prior written authorization, except as permitted by applicable law.

Our online store is hosted by Shopify Inc., which provides the e-commerce infrastructure through which we offer our products.

We may use third-party payment processors, fulfillment providers, manufacturers, technology providers, and other service providers to operate our business.

SECTION 3 - ACCOUNTS, CUSTOMER INFORMATION, AND PAYMENT

You agree to provide accurate, current, and complete information when placing orders, creating accounts, or using the Services.

You are responsible for maintaining the confidentiality of your account credentials and for promptly notifying Yumkies of suspected unauthorized account activity.

We may suspend or terminate accounts associated with fraud, payment abuse, unauthorized access, violations of these Terms, or other unlawful conduct, subject to applicable law.

You agree to keep your billing, shipping, payment, and contact information current.

By submitting an order, you represent that you are authorized to use the selected payment method and that all information provided in connection with the transaction is accurate and complete.

You authorize Yum Brand Corp. and its designated payment processors to charge the selected payment method for the total amount disclosed at checkout, including applicable taxes, shipping charges, and other authorized fees. Recurring subscription charges are separately governed by Section 8 and the disclosures and consent provided at enrollment.

Yumkies may use commercially reasonable fraud-prevention and transaction-verification procedures, including address verification, payment authentication, order screening, and review of transaction records.

Where reasonably necessary to investigate suspected fraud or unauthorized activity, Yumkies may temporarily delay fulfillment, request additional verification, decline an order, or cancel a transaction, subject to applicable law and any required refund obligations.

You agree not to knowingly submit false information, use payment methods without authorization, or intentionally misrepresent material transaction facts.

Yumkies may retain and use transaction records, order confirmations, payment authorization records, customer communications, and delivery evidence to investigate or respond to payment disputes, subject to applicable privacy, data-protection, and payment-security requirements.

SECTION 4 - PRODUCTS, AVAILABILITY, AND PRICING

Products offered through Yumkies may be available in limited quantities and may be discontinued, modified, reformulated, or replaced from time to time.

We make reasonable efforts to display accurate product descriptions, photographs, ingredient information, nutritional information, prices, and availability.

Product packaging, appearance, size, and other characteristics may vary where disclosed and permitted by law.

Prices and promotions may change without advance notice, except where applicable law or an existing purchase agreement requires otherwise.

Prices on the Yumkies website apply only to purchases made directly through the Services. Our products are also sold by independent retailers, distributors, and online marketplaces, which set their own prices, promotions, and discounts. As a result, prices for the same product may vary between our website and other sellers, and between in-store and online channels.

Yumkies does not offer price matching and does not guarantee that prices on our website will match or beat prices offered by any other seller. We are not responsible for pricing, promotions, availability, or customer service provided by independent retailers. Questions about a retailer's pricing or orders placed with a retailer should be directed to that retailer.

Unless a specific promotion states otherwise, we do not provide price adjustments, credits, or refunds based on price reductions or promotions that occur after your order is placed.

We reserve the right to correct genuine pricing, typographical, or technical errors and to cancel affected orders, subject to applicable consumer rights and refund requirements.

An order confirmation does not necessarily constitute final acceptance of an order. We may decline or cancel an order before fulfillment, including because of inventory shortages, payment problems, suspected fraud, or pricing errors.

If we cancel an order or an item for which payment has been collected, we will issue the refund required by applicable law and our applicable policies.

SECTION 5 - MANUFACTURING AND THIRD-PARTY FULFILLMENT

Yumkies products may be manufactured, processed, packaged, stored, shipped, or fulfilled by third-party manufacturers, suppliers, logistics providers, or affiliated entities on behalf of Yum Brand Corp.

By purchasing products through our website, you acknowledge that Yumkies may engage these parties to perform operational activities.

The use of third-party providers does not eliminate any legal responsibility Yumkies may have for its products or Services.

Yumkies may change manufacturing or fulfillment partners without advance notice, subject to applicable labeling, product safety, and other legal requirements.

SECTION 6 - ORDER PROCESSING, SHIPPING, AND DELIVERY

Processing and delivery timelines displayed on our website are estimates unless expressly guaranteed.

Orders may require additional processing time because of production schedules, inventory availability, order volume, weather, carrier interruptions, holidays, or other operational circumstances.

We may ship orders in multiple packages or from different facilities.

Where legally permissible, title and risk of loss transfer to the purchaser when the order is delivered to the shipping carrier. This provision does not override applicable consumer-protection laws or Yumkies' obligations concerning undelivered or nonconforming goods.

Once an order has entered fulfillment or has shipped, address changes, modifications, or cancellations may no longer be possible.

For packages reported lost, stolen, damaged, or incorrectly delivered, Yumkies may conduct a reasonable investigation, including reviewing tracking information, delivery confirmation, photographs, and carrier records.

Replacement, credit, or refund requests will be evaluated under our applicable policies and governing law.

Nothing in this section restricts any nonwaivable right to receive ordered goods or an applicable refund.

Orders returned to Yumkies as undeliverable due to an incorrect or incomplete shipping address provided by the customer, refusal of delivery, or failure to claim a package from the carrier may not be eligible for a full refund. Where permitted by applicable law, Yumkies may deduct reasonable, documented shipping and return costs, as well as the cost of products that cannot safely be resold, provided the delivery failure was not caused by an error attributable to Yumkies or its service providers. Any refund or reshipment will be handled in accordance with our Return and Refund Policy and applicable law.

Items returned to Yumkies without prior authorization or outside the procedures described in our Return and Refund Policy may not be eligible for a voluntary refund, replacement, or credit, except where required by applicable law.

SECTION 7 - RETURNS, REFUNDS, ORDER CANCELLATIONS, AND PAYMENT DISPUTES

7.1 Returns and Refunds

Purchases are subject to our applicable Return and Refund Policy, as disclosed on our website and incorporated into these Terms to the extent legally permitted.

Because Yumkies sells food products, certain items may be ineligible for return after delivery or opening, except where applicable law requires otherwise.

You must follow the procedures stated in our applicable Return and Refund Policy when requesting refunds, replacements, or exchanges.

Nothing in these Terms limits statutory remedies for defective, misrepresented, unsafe, or otherwise nonconforming products.

Branded merchandise, limited-edition items, and other products clearly identified as final sale before purchase are not eligible for voluntary returns, exchanges, or cancellations, except where otherwise provided in our Return and Refund Policy or required by applicable law. Nothing in this provision limits remedies available for damaged, defective, incorrectly supplied, or otherwise nonconforming products.

7.2 Payment Disputes

If you believe that an order, charge, delivery, or transaction contains an error, you are encouraged to contact Yumkies at support@yumkies.com so that the matter may be investigated and, where appropriate, resolved.

Contacting Yumkies is voluntary and is not a prerequisite to exercising any chargeback, billing-error, payment-network, or other consumer right provided by applicable law.

7.3 Transaction Records and Evidence

In connection with a payment dispute, refund request, suspected fraudulent transaction, or chargeback, Yumkies may review and submit relevant transaction information to payment processors, payment networks, financial institutions, dispute-resolution providers, or other authorized parties.

Such information may include order confirmations, payment authorization records, fraud-screening results, shipping records, carrier tracking information, proof of delivery, customer communications, and other relevant evidence, subject to applicable privacy, data-protection, and payment-security requirements.

7.4 Fraudulent or Abusive Transactions

You shall not knowingly use unauthorized payment methods, provide materially false transaction information, impersonate another person, or intentionally misrepresent the circumstances of an order or delivery to obtain an improper refund, credit, replacement, or payment reversal.

Where Yumkies reasonably identifies evidence of fraudulent or abusive conduct, it may investigate the transaction, contest an improper payment reversal, restrict future purchases, suspend an account, or pursue other remedies available under applicable law.

7.5 No Waiver of Payment Rights

Nothing in this section restricts your right to dispute unauthorized charges, assert legitimate billing errors, obtain refunds required by law, or exercise rights provided by applicable payment-network rules or consumer-protection laws.

A payment dispute or chargeback does not, by itself, constitute fraud or a violation of these Terms.

7.6 Outstanding Amounts

Where a payment is reversed or remains unpaid and the amount remains legally due, Yumkies reserves the right to seek payment of that amount, subject to applicable law and any valid defenses, refunds, credits, or consumer remedies.

SECTION 8 - SUBSCRIPTIONS AND RECURRING PAYMENTS

8.1 Subscription Disclosures and Authorization

Before you enroll in a recurring subscription, Yumkies will disclose the material subscription terms required by applicable law, including the recurring price, billing and delivery frequency, renewal schedule, cancellation method, and any applicable promotional or introductory terms.

By enrolling, you authorize Yum Brand Corp. and its authorized payment processors to charge your selected payment method automatically according to the terms disclosed at enrollment. Subscription charges will be processed only pursuant to your valid authorization.

8.2 Renewal and Cancellation

Subscriptions continue until canceled in accordance with the disclosed subscription terms and applicable law.

You may manage or cancel your subscription using the methods disclosed at enrollment and any other methods required by applicable law, including an online account or subscription portal where available.

Cancellation prevents future renewals or orders as required by applicable law. Cancellation does not automatically reverse charges for orders already processed or shipped, except where required by law or our applicable refund policy.

8.3 Failed Payments

If a payment cannot be processed, Yumkies may retry payment in accordance with applicable law, request updated payment information, pause fulfillment, or cancel the subscription.

8.4 Notices and Consumer Rights

We will provide required renewal notices, price-change notices, affirmative consent mechanisms, and cancellation rights under applicable federal and state laws.

8.5 Subscription Records

Yumkies may maintain records of subscription enrollment, authorization, renewal disclosures, billing transactions, and cancellation requests for legitimate business, compliance, and dispute-resolution purposes, subject to applicable privacy and data-retention requirements.

SECTION 9 - PROMOTIONS, DISCOUNTS, AND RESALE RESTRICTIONS

Promotional codes, referral offers, discounts, gifts, and other incentives are subject to the specific conditions stated for each promotion.

Unless expressly authorized, promotional benefits may not be duplicated, sold, transferred, combined, or redeemed through multiple accounts to circumvent applicable restrictions.

We reserve the right to reject fraudulent promotional redemptions, correct errors, impose reasonable quantity limits, and cancel orders associated with suspected abuse, subject to applicable law.

Products purchased through our consumer website are intended primarily for personal or household use unless Yumkies expressly authorizes commercial purchasing or resale.

We may reject orders reasonably suspected of unauthorized commercial resale.

Yumkies may limit or cancel quantities purchased per person, per household, or per order. These limits may apply to orders placed under the same customer account, payment method, billing address, or shipping address. If we change or cancel an order, we will attempt to notify you using the email address or other contact information provided with the order, and any amount charged for canceled items will be refunded as required by applicable law and our applicable policies.

SECTION 10 - INGREDIENTS, ALLERGENS, AND FOOD SAFETY

Yumkies products contain food ingredients that may cause allergic reactions, intolerances, or other adverse responses in certain individuals.

Products may be manufactured, processed, packaged, or stored in facilities that also handle common allergens, including milk, eggs, fish, crustacean shellfish, tree nuts, peanuts, wheat, soybeans, and sesame, where applicable to the relevant facility.

Although precautions may be taken to reduce cross-contact risks, Yumkies cannot guarantee that products are free from trace amounts of allergens resulting from shared facilities or equipment, unless a product representation expressly provides otherwise.

You should review the ingredient list, allergen declarations, nutritional information, warnings, and storage instructions appearing on the actual product packaging before consumption.

Product formulations, manufacturing locations, ingredients, and packaging may change from time to time. The product packaging is the primary source of information for the product you receive. If website information and product packaging differ, particularly concerning allergens, ingredients, or dietary restrictions, do not consume the product until you have contacted Yumkies at support@yumkies.com for clarification.

If you have food allergies, medical conditions, or specific dietary restrictions, you should consult an appropriate healthcare professional when necessary.

Nothing in this section excuses Yumkies from complying with applicable labeling, food-safety, product-description, or consumer-protection requirements, or limits any remedy available for inaccurate or misleading product information.

SECTION 11 - NUTRITIONAL AND HEALTH INFORMATION

Information provided on the Yumkies website concerning nutrition, ingredients, dietary preferences, protein content, sugar content, carbohydrates, or other product characteristics is intended to describe our products and provide general information.

It is not individualized medical advice and should not be used as a substitute for professional medical guidance.

References to particular dietary approaches or lifestyles do not constitute a guarantee that a product is suitable for every individual or medical condition.

You should consult a healthcare professional when making decisions involving specific health conditions.

Yumkies remains responsible for product representations and labeling to the extent required by applicable law.

SECTION 12 - INTELLECTUAL PROPERTY

All rights, title, and interest in the Yumkies website and its original content, including trademarks, logos, brand names, trade dress, packaging artwork, photographs, graphics, illustrations, text, designs, software, and other proprietary materials, belong to Yum Brand Corp. or its licensors.

These materials are protected by applicable copyright, trademark, trade secret, and other intellectual-property laws.

Yumkies grants users a limited, nonexclusive, nontransferable, revocable license to access and use the website for lawful personal purposes.

Without prior written authorization, and except as permitted by applicable law, users may not reproduce, distribute, publish, modify, commercially exploit, or create derivative works from protected Yumkies materials.

Nothing in these Terms grants any ownership interest or license in Yumkies' trademarks, trade dress, proprietary formulations, confidential information, or other intellectual property beyond the limited website-use permission expressly provided.

SECTION 13 - PROHIBITED USES AND AUTOMATED ACCESS

You may not use the Services to:

  • Violate applicable laws or the rights of another person.

  • Commit fraud or submit false payment, account, or identifying information.

  • Infringe intellectual-property rights.

  • Transmit malicious software or interfere with website security.

  • Harvest personal information without authorization.

  • Engage in unauthorized scraping, crawling, data mining, or automated extraction.

  • Use automated agents or similar technologies to circumvent access controls or commercially exploit protected content without authorization.

  • Impersonate another individual or entity.

  • Conduct unauthorized advertising, spam, or abusive activity.

  • Interfere with the operation or security of the Services.

These restrictions apply only to the extent permitted by applicable law.

Yumkies may restrict or terminate access associated with violations.

SECTION 14 - CUSTOMER REVIEWS, FEEDBACK, AND SUBMISSIONS

You retain ownership of original reviews, photographs, comments, testimonials, suggestions, and other content you submit to Yumkies.

By submitting content, you grant Yum Brand Corp. a worldwide, nonexclusive, royalty-free, sublicensable license to reproduce, adapt, publish, distribute, display, and use that content in connection with its business, products, marketing, and Services, subject to applicable law.

You represent that you possess the rights and permissions necessary to submit the content and grant the foregoing license.

We may remove content that violates these Terms, applicable law, or the rights of others.

Any use of personal information, names, likenesses, or endorsements will remain subject to applicable privacy, publicity, advertising, and consumer-protection requirements.

We are not obligated to compensate users for unsolicited ideas or suggestions unless otherwise agreed in writing.

SECTION 15 - THIRD-PARTY SERVICES AND LINKS

Our website may contain links to websites, applications, payment platforms, and services operated by third parties.

Yumkies does not control and is not responsible for the independent content, policies, or operations of unaffiliated third-party websites.

Use of third-party services may be subject to additional terms and privacy policies.

Nothing in this section eliminates liability that applicable law imposes on Yumkies for its own conduct.

SECTION 16 - DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND DIGITAL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

YUMKIES DISCLAIMS IMPLIED WARRANTIES RELATING TO THE WEBSITE AND DIGITAL SERVICES TO THE EXTENT SUCH DISCLAIMERS ARE LAWFUL.

WE DO NOT GUARANTEE THAT THE WEBSITE WILL OPERATE WITHOUT INTERRUPTION, SECURITY INCIDENTS, OR TECHNICAL ERRORS.

PRODUCT WARRANTIES AND CONSUMER RIGHTS ARE SUBJECT TO APPLICABLE LAW. NOTHING IN THIS SECTION DISCLAIMS EXPRESS WARRANTIES THAT CANNOT LAWFULLY BE DISCLAIMED OR ELIMINATES NONWAIVABLE RIGHTS RELATING TO FOOD SAFETY, PRODUCT DEFECTS, OR LEGALLY REQUIRED PRODUCT INFORMATION.

SECTION 17 - LIMITATION OF LIABILITY

17.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YUM BRAND CORP., DOING BUSINESS AS YUMKIES, AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES, PRODUCTS, TRANSACTIONS, OR THESE TERMS, EXCEPT TO THE EXTENT SUCH LIABILITY CANNOT LAWFULLY BE EXCLUDED.

17.2 Aggregate Liability Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF YUM BRAND CORP. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND SERVICE PROVIDERS, COLLECTIVELY, FOR CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE, DIGITAL SERVICES, PURCHASE TRANSACTIONS, OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

(A) THIRTY-FIVE UNITED STATES DOLLARS ($35.00); OR

(B) THE TOTAL AMOUNT ACTUALLY PAID BY THE CLAIMANT TO YUM BRAND CORP. FOR PRODUCTS PURCHASED DIRECTLY THROUGH THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THIS LIMITATION APPLIES TO THE TOTAL OF ALL COVERED CLAIMS ARISING FROM THE SAME EVENT OR RELATED SERIES OF EVENTS, REGARDLESS OF THE NUMBER OF LEGAL THEORIES ASSERTED, TO THE EXTENT PERMITTED BY APPLICABLE LAW.

17.3 Exceptions and Nonwaivable Rights

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR PERSONAL INJURY, DEFECTIVE OR UNSAFE PRODUCTS, FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE WHERE SUCH LIMITATION IS PROHIBITED, OR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

NOTHING IN THESE TERMS LIMITS YOUR RIGHT TO A REFUND, REPLACEMENT, OR OTHER REMEDY REQUIRED BY APPLICABLE LAW.

17.4 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT PERMIT CERTAIN EXCLUSIONS OR LIMITATIONS OF LIABILITY. WHERE SUCH RESTRICTIONS APPLY, THE RELEVANT LIMITATION SHALL OPERATE ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

17.5 Independent Application

EACH LIMITATION AND EXCLUSION IN THIS SECTION IS INTENDED TO APPLY INDEPENDENTLY AND SHALL REMAIN EFFECTIVE TO THE EXTENT ENFORCEABLE, EVEN IF ANOTHER LIMITATION OR EXCLUSION IS FOUND UNENFORCEABLE.

SECTION 18 - INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Yum Brand Corp., its affiliates, officers, directors, employees, agents, suppliers, and service providers from third-party claims, losses, damages, liabilities, and reasonable attorneys' fees arising from:

(a) Your unlawful or unauthorized use of the Services;

(b) Your material violation of these Terms;

(c) Your infringement of another person's intellectual-property or other legal rights;

(d) Fraudulent or unlawful content submitted by you; or

(e) Your intentional misuse of the Services in violation of applicable law.

This obligation does not require you to indemnify Yumkies for its own negligence, defective products, unlawful conduct, or liabilities that cannot lawfully be transferred to a consumer.

Yumkies may assume control of the defense of an indemnifiable claim, subject to applicable law, and you agree to provide reasonable cooperation.

SECTION 19 - DISPUTE RESOLUTION, BINDING ARBITRATION, AND CLASS-ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR ABILITY TO BRING A LAWSUIT IN COURT, PARTICIPATE IN A CLASS ACTION, OR HAVE A DISPUTE DECIDED BY A JURY.

19.1 Informal Dispute Resolution: 45 Days

Before initiating arbitration, either party agrees to provide the other party with written notice of the dispute and to make a good-faith effort to resolve the matter informally.

A dispute notice should include, to the extent reasonably available:

(a) The claimant’s full name and contact information;

(b) The email address associated with the relevant order or account, if applicable;

(c) The relevant order number, transaction date, or other identifying information, if applicable;

(d) A reasonably detailed description of the dispute and relevant facts; and

(e) The specific relief or resolution requested.

Notices to Yumkies shall be mailed to Yum Brand Corp., 3839 McKinney Avenue, Suite 155, PMB 2631, Dallas, Texas 75204. Notices from Yumkies to you will be sent to the email address associated with your order or account, or to other contact information you have provided.

The parties agree to attempt in good faith to resolve the dispute for forty-five (45) days following receipt of the written notice.

During this period, the parties shall make reasonable efforts to communicate, exchange reasonably necessary information, and explore an appropriate resolution.

Neither party shall initiate arbitration before expiration of the informal resolution period, except where prohibited by applicable law, urgent judicial or administrative relief is necessary, or delay would jeopardize a legal right.

The parties agree that applicable contractual filing deadlines shall be tolled during the informal resolution period to the extent legally permissible.

Minor technical deficiencies in a dispute notice shall not prevent the informal resolution process from proceeding where the notice reasonably identifies the claimant, the dispute, and the requested relief.

Nothing in this section prevents you from contacting a government agency, exercising payment-dispute rights, or pursuing other remedies that cannot lawfully be conditioned on informal dispute resolution.

19.2 Mandatory Individual Arbitration

Except for disputes expressly excluded below or where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the website, the Services, product purchases, or the relationship between you and Yum Brand Corp. shall be resolved by final and binding arbitration on an individual basis.

Arbitration shall be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules and, where applicable, its Mass Arbitration Supplementary Rules.

The Federal Arbitration Act shall govern the interpretation and enforcement of this arbitration agreement to the extent applicable.

The arbitrator may award any individual relief available under applicable law.

Arbitration fees, hearing locations, remote participation, and consumer procedural protections shall be determined in accordance with the applicable AAA rules and governing law.

19.3 Individual Proceedings and Class-Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND YUM BRAND CORP. AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.

Except where prohibited by applicable law, all disputes subject to arbitration under Section 19.2 shall be resolved exclusively through individual arbitration. Neither party consents to class arbitration, collective arbitration, or the consolidation of separate individuals' claims into a single merits proceeding.

The arbitrator shall have authority to resolve only the claims of the individual parties to the arbitration and may award any relief available to those parties under applicable law. The arbitrator shall not conduct class arbitration or adjudicate claims on behalf of nonparties without the parties' express written agreement or where otherwise required by applicable law.

The parties expressly agree that the availability and enforceability of class, collective, or representative procedures shall be determined by a court of competent jurisdiction, unless applicable law requires otherwise.

Scope of Class-Action Waiver. This class-action waiver applies to disputes subject to the individual arbitration agreement in Section 19.2, except where prohibited by applicable law. It does not apply to individuals who validly opt out of arbitration under Section 19.7 or to claims for which applicable law prohibits enforcement of the waiver. Nothing in this provision authorizes class arbitration without the parties' express agreement.

Nothing in this section prohibits either party from pursuing individual relief, limits remedies that cannot lawfully be waived, or restricts the exercise of rights protected by applicable law.

If any portion of this section is determined to be unenforceable, the remaining provisions shall continue in effect to the extent permitted by applicable law and consistent with Section 19.8.

19.4 Consolidation, Coordinated Claims, and Mass Arbitration

Coordinated Demands. Where twenty-five (25) or more substantially similar arbitration demands are filed against Yum Brand Corp. by or with the assistance of the same or coordinated counsel or organizations, the parties agree that the American Arbitration Association’s applicable Mass Arbitration Supplementary Rules shall govern to the extent the AAA determines those rules apply.

Administrative Procedures. The parties agree to cooperate in good faith with the AAA and any appointed process arbitrator concerning administrative scheduling, identification of related claims, procedural coordination, mediation, and other case-management measures permitted by the applicable rules.

Proposed Staged Proceedings. Subject to approval by the AAA, any appointed process arbitrator, and applicable law, the parties agree to request that coordinated claims proceed in stages, beginning with a representative group of no more than twenty-five (25) individually adjudicated claims, with the remaining claims managed under an appropriate administrative schedule. The parties may request an opportunity for mediation or settlement discussions following the initial stage before additional individual merits proceedings occur.

Individual Rights. Each claimant shall retain the right to an individual determination of their claim and to all remedies available under applicable law. No staging procedure shall eliminate a valid claim, impose an unlawful delay, or deprive a claimant of mandatory procedural protections.

Fees and Administration. Arbitration fees, administrative charges, and arbitrator compensation shall be determined under the applicable AAA rules, fee schedules, and governing law. Nothing in this provision requires a claimant to pay fees that applicable law or the administrator’s consumer rules allocate to Yum Brand Corp.

Severability. If any proposed staging, batching, or administrative procedure is determined to be unavailable or unenforceable, that procedure shall be severed to the extent permitted by law, and the remaining enforceable arbitration provisions shall continue to apply.

19.5 Exceptions to Arbitration

The following disputes may proceed outside arbitration where permitted by applicable law:

(a) Claims qualifying for small claims court;

(b) Actions seeking appropriate judicial relief for infringement or misuse of intellectual-property rights;

(c) Claims that applicable law expressly prohibits from being subjected to mandatory predispute arbitration; and

(d) Other disputes for which arbitration is legally unavailable.

19.6 Jury-Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND YUM BRAND CORP. WAIVE THE RIGHT TO A TRIAL BY JURY FOR CLAIMS SUBJECT TO THIS ARBITRATION AGREEMENT.

This waiver does not eliminate any jury-trial right that cannot lawfully be waived.

19.7 Thirty-Day Right to Opt Out

You may opt out of this arbitration agreement by providing written notice within thirty (30) days after you first accept these Terms, such as by creating an account or placing an order.

Your notice must include your full name, contact information, the email associated with your order or account where applicable, and an unequivocal statement that you wish to opt out of arbitration.

Opt-out notices may be sent to support@yumkies.com with the subject line “Arbitration Opt-Out,” or mailed to Yum Brand Corp. at 3839 McKinney Avenue, Suite 155, PMB 2631, Dallas, Texas 75204. Mailed notices must be postmarked within the thirty (30) day period.

If you validly opt out, the arbitration agreement in Section 19, including the class-action waiver in Section 19.3 and the jury-trial waiver in Section 19.6, will not apply to you. Any dispute not subject to arbitration shall be governed by the remaining applicable provisions of these Terms and applicable law, including Section 25 (Governing Law and Venue).

An effective opt-out does not affect the enforceability of the remaining Terms.

19.8 Arbitration Severability

If any provision of this arbitration agreement is determined to be invalid or unenforceable, that provision shall be severed to the extent permitted by applicable law, subject to the specific rules below.

If a court of competent jurisdiction determines that the class-action waiver in Section 19.3 is unenforceable with respect to a particular claim or form of relief, that claim or form of relief shall proceed in court to the extent required by applicable law. All remaining claims subject to a valid and enforceable agreement to arbitrate shall continue in individual arbitration, to the extent permitted by applicable law.

No arbitrator shall conduct class arbitration unless the parties expressly agree to that procedure in writing.

19.9 Survival and Changes

This arbitration agreement shall survive termination of the customer relationship to the extent permitted by law.

Material changes to this arbitration agreement shall apply prospectively unless the parties validly agree otherwise.

SECTION 20 - TIME LIMIT FOR CERTAIN CLAIMS

To the extent permitted by applicable law, contractual claims arising solely from access to or use of the website must be commenced within one (1) year after the claim accrues.

This contractual limitation does not apply to product-injury claims, defective-product claims, fraud claims, statutory consumer-protection claims, or other claims for which applicable law prohibits shortening the limitations period.

Nothing in this section shortens a nonwaivable statutory limitations period.

SECTION 21 - FORCE MAJEURE

Yumkies shall not be responsible for delays or failures in performance to the extent caused by circumstances beyond its reasonable control, including natural disasters, severe weather, transportation disruptions, governmental actions, labor interruptions, supplier shortages, power failures, or other extraordinary events.

Yumkies will make commercially reasonable efforts to address affected orders and provide refunds or other remedies where required by applicable law.

SECTION 22 - PRIVACY AND ELECTRONIC COMMUNICATIONS

Our collection, use, and disclosure of personal information are governed by our Privacy Policy and applicable privacy laws.

By providing contact information, you agree that Yumkies may send transactional communications relating to orders, accounts, subscriptions, and customer service, as permitted by law.

Marketing emails and text messages are subject to applicable consent and opt-out requirements.

Consent to receive marketing messages is not a condition of purchasing products unless a particular communication is necessary to complete the transaction and is legally permitted.

22.1 SMS and Text Messaging

Yumkies may offer optional SMS and text messaging programs, including promotional messages, product announcements, special offers, abandoned-checkout reminders, and transactional notifications.

By voluntarily opting in to a Yumkies marketing text messaging program through an appropriate consent mechanism, you authorize Yum Brand Corp., doing business as Yumkies, and its authorized messaging service providers to send recurring automated promotional and marketing text messages to the mobile telephone number you provide, in accordance with your consent and applicable law.

Consent to receive marketing text messages is not a condition of purchasing any goods or services.

Message frequency may vary. Message and data rates may apply. Wireless carriers are not responsible for delayed or undelivered messages.

You may opt out of a marketing text messaging program at any time by replying STOP to a message or using another reasonable opt-out method made available by Yumkies. You may reply HELP for assistance or contact support@yumkies.com.

After opting out, you may receive a confirmation message. Transactional or service-related messages may continue where separately authorized and permitted by applicable law.

Yumkies will obtain any consent required by applicable law before sending marketing messages and will honor applicable revocation and opt-out requirements.

Our collection, use, and disclosure of mobile telephone numbers and related personal information are governed by our Privacy Policy and applicable law.

SECTION 23 - MODIFICATIONS TO THE SERVICES

We may modify, suspend, or discontinue portions of the Services for legitimate business, security, or operational reasons.

We may update product offerings, website functionality, and available services.

Nothing in this section authorizes Yumkies to disregard binding purchase obligations or applicable consumer rights.

SECTION 24 - TERMINATION

These Terms remain effective while you access or use the Services, unless terminated in accordance with their provisions.

You may discontinue use of the Services at any time.

We may suspend or terminate access for material violations of these Terms, fraud, unlawful conduct, or security-related reasons, subject to applicable law.

Termination does not eliminate accrued payment obligations, legally required refunds, or provisions that by their nature should survive termination.

SECTION 25 - GOVERNING LAW AND VENUE

These Terms shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where mandatory consumer-protection laws or applicable federal law require otherwise.

For disputes properly proceeding in court and subject to an enforceable forum-selection provision, the parties consent to the jurisdiction of the state and federal courts located in Dallas, Texas.

Nothing in this section overrides the Federal Arbitration Act, applicable arbitration rules, or nonwaivable jurisdictional rights.

SECTION 26 - SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law or severed as appropriate.

The remaining provisions shall remain in effect, subject to any specific severability rules applicable to the arbitration agreement.

SECTION 27 - ENTIRE AGREEMENT, NO WAIVER AND ASSIGNMENT

These Terms, together with policies validly incorporated by reference, constitute the entire agreement between you and Yum Brand Corp. concerning the Services, except where a separate agreement expressly governs a particular transaction.

Our failure to enforce a provision does not constitute a waiver of our right to enforce that provision later.

Any waiver must be legally effective and does not constitute a continuing waiver unless expressly stated.

You may not transfer or assign these Terms or any of your rights or obligations under them without our prior written consent. Yumkies may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets, subject to applicable law.

SECTION 28 - CHANGES TO TERMS & CONDITIONS

Yumkies may update these Terms periodically.

Revised Terms will be posted on our website with an updated effective date.

Where required by applicable law, we will provide additional notice or obtain affirmative consent before material changes become binding.

Changes generally apply prospectively and do not automatically alter the terms governing completed transactions or accrued disputes.

Continued use of the Services following legally sufficient notice and acceptance may constitute agreement to updated Terms where permitted by law.
